Important notice: These Terms contain a mandatory arbitration clause, class action waiver, broad assumption-of-risk language, a release of ordinary negligence claims to the maximum extent permitted by law, and an all-sales-final / no-refunds policy.

1. Scope and Acceptance

These Terms of Service ("Terms") govern access to and use of the Senior Week ticketing platform, website, mobile experience, waitlists, check-in tools, customer communications, and related services (collectively, the "Platform"), which is solely owned, designed, and operated by Vesper Productions LLC ("Vesper," "Company," "we," "us," or "our"). Vesper provides digital ticketing, customer communications, and related administrative platform services for certain private 21+ events hosted and operated by separately owned and operated venues. For certain events identified on the Platform, Vesper may permit Jaiye Productions LLC ("Jaiye"), a separate business, to assist in limited promotional, marketing, guest-communication, or event-specific ticket-administration functions. Jaiye is not an owner of the Platform, is not an equity owner of Vesper, and is not Vesper's partner, joint venturer, or general agent. By creating an account, clicking to accept, buying a ticket, joining a waitlist, using the Platform, or attending any event marketed or sold through the Platform, you agree to be bound by these Terms and our Privacy Policy. Provisions concerning account creation, platform access, acceptable use, communications, privacy, and security apply when you first access the Platform or create an account. All purchase, no-refund, event, assumption-of-risk, release, indemnity, dispute-resolution, and other transaction-related provisions apply no later than the time you purchase a ticket, and your continued platform use or event attendance confirms your acceptance.

The Platform is owned and operated solely by Vesper Productions LLC. Jaiye Productions LLC does not own any portion of the Platform, Vesper Productions LLC intellectual property, or the Senior Week customer database by virtue of assisting with any event. Any venue contract, marketing arrangement, or other obligation separately undertaken by Jaiye is Jaiye's own responsibility unless the Platform expressly states otherwise in writing. The individual events themselves are hosted and operated by the separately owned and operated venues at which they take place, and those venues control on-site operations, including admission decisions, alcohol service, staffing, security, crowd management, capacity management, and compliance with applicable law. The Platform, Vesper Productions LLC, and Jaiye Productions LLC are not sponsored by, endorsed by, controlled by, or affiliated with any university, college, student government, fraternity, sorority, alumni association, or other institution, except that individual events may take place at participating venues.

These Terms form a binding legal agreement between you and Company. If you do not agree, do not use the Platform or purchase a ticket.

2. Eligibility; 21+ Events; Identity Verification

All Senior Week events offered through the Platform are intended only for persons who are at least twenty-one (21) years old at the time of attendance. By using the Platform, you represent and warrant that you are legally able to enter into this agreement and that all information you submit is accurate, current, and complete.

You understand that a ticket purchase, confirmation, QR code, or inclusion on a guest list does not eliminate the need to present a valid, acceptable, government-issued photo ID at entry if requested by venue staff, security, alcohol service personnel, event staff, or law enforcement. The venue and its staff retain sole authority over age verification, admission screening, alcohol service decisions, and removal decisions.

Company may suspend, cancel, or refuse any account, order, ticket, or attendance if we suspect fraud, chargeback abuse, false identities, underage purchase attempts, prohibited transfers, duplicate accounts, or conduct that may create risk, disruption, or legal exposure.

3. Nature of Ticket; Revocable License; No Guarantee of Entry

Each ticket, confirmation, RSVP, waitlist promotion, or reservation sold or issued through the Platform is a limited, revocable, non-exclusive license to attempt entry to the specific event listed, subject to these Terms, the applicable event page, venue rules, capacity limits, security procedures, alcohol-service laws, weather, force majeure, safety concerns, and all applicable laws and regulations.

A ticket does not guarantee admission, entry by a particular time, access to a specific line, table, section, room, seat, bartender, drink selection, or period of alcohol service. Entry may be delayed, denied, suspended, or revoked due to venue capacity, security holds, dress code enforcement, intoxication, suspected intoxication, fake or inadequate ID, disorderly conduct, safety incidents, late arrival, failure to comply with staff instructions, legal restrictions, emergency conditions, private venue policies, or other operational reasons determined by the venue, security, event staff, or law enforcement.

You acknowledge and agree that Vesper provides the Platform and ticketing/promotional services only. When Jaiye is involved with a particular event, Jaiye acts in a separate, limited, independent-collaborator capacity and remains responsible for its own marketing, communications, and any separate obligations it undertakes. Neither Vesper nor Jaiye controls the venue door, venue staffing, alcohol service, or final admission decisions, and the individual venue has the exclusive right to deny entry or deny alcohol service in accordance with law, regulation, license conditions, or venue policy.

4. Event Descriptions; Packages; Comp Tabs; Open Bar; Minimums

Event descriptions, event schedules, talent, themes, amenities, drink programs, venue assignments, operating hours, and inclusion of food, beverage, or perks may change. Company may update event details before or during an event for operational, legal, safety, or commercial reasons.

Some events may involve prepaid tabs, partially comped bar tabs, open-bar packages, drink credits, venue minimum-spend arrangements, or events where the ticket price does not include drinks. Unless the event page expressly states otherwise, the ticket itself does not include alcohol. Where an event includes any drink benefit, that benefit remains subject at all times to venue inventory, house rules, drink menus, pour limits, cutoff times, responsible-service practices, legal restrictions, and the venue's right to refuse service. A comped bar tab may be exhausted before the scheduled end of the event; an open-bar package may be limited by the venue's package rules; and after any included benefit is exhausted or terminated, additional purchases are the attendee's responsibility.

Company is not a guarantor of drink availability, beverage quality, brand availability, length of service, speed of service, or any spend level achieved by attendees. The business arrangements between Company and a venue, including minimum-spend commitments, do not create any consumer right to a minimum amount of alcohol, any guaranteed service level, or any right to reimbursement because guests spend less or more than expected.

5. Pricing; Taxes; Fees; Payment Processing

By submitting an order, you authorize Company and its third-party payment processor to charge the total amount displayed at checkout, including any disclosed taxes, processing fees, platform fees, or service fees. Prices are subject to change for future transactions, but price changes will not affect an order after checkout is completed except for obvious pricing errors, fraud, or unauthorized transactions.

Stripe, and not Company, handles payment-card processing and stores sensitive card data. Company does not store full payment card numbers, CVC codes, or full card authentication data on its own servers. Company may receive transaction confirmations, limited payment metadata, chargeback information, billing name, and related records needed for order management, fraud prevention, reconciliation, and legal compliance.

We reserve the right to cancel any order affected by technical error, duplicated charges, obvious pricing error, or suspected fraud. If Company cancels a charge due to suspected fraud or error, our sole obligation will be the refund or reversal of the amount actually paid, unless otherwise required by law.

6. All Sales Final; No Refunds; Chargeback Misuse

ALL SALES ARE FINAL. EXCEPT TO THE EXTENT REQUIRED BY APPLICABLE LAW OR EXPRESSLY STATED OTHERWISE IN WRITING BY COMPANY, THERE ARE NO REFUNDS, RETURNS, EXCHANGES, CREDITS, OR CANCELLATIONS AFTER PURCHASE.

Without limiting the foregoing, no refund or credit will be owed for denied entry, delayed entry, long lines, venue capacity restrictions, personal schedule conflicts, travel issues, illness, weather discomfort, dislike of the event, dissatisfaction with crowd size, dissatisfaction with drink selection, early departure, removal for misconduct, inability to consume alcohol, changes to talent or programming, exhaustion of a comped tab, open-bar limitations, or venue decisions about service or entry.

If an event is cancelled in its entirety by Company and not rescheduled or replaced with a reasonably comparable event or credit, Company may, in its sole discretion, issue a refund or credit of the face value actually paid for the affected ticket. Processing fees, third-party fees, and non-refundable payment costs may be excluded to the extent permitted by law and disclosed at the time of remedy.

You agree not to initiate a chargeback or payment dispute except in the event of unauthorized use of your payment method or a clear billing error that you first attempt in good faith to resolve with Company. If you breach this Section, Company may cancel your tickets, revoke Platform access, pursue collection of amounts owed, and recover reasonable costs of collection where permitted by law.

7. Transfers; Resale; Anti-Fraud Controls

Tickets may not be copied, scraped, resold, brokered, auctioned, transferred for value, used for commercial promotion, or distributed in violation of Company rules unless the applicable event page or Company support expressly permits transfer through an authorized method designated by Company. Unauthorized transfers may be voided without refund.

Company may use QR codes, unique order IDs, guest-list checks, identity matching, duplicates-scan controls, or other anti-fraud measures. You authorize Company to provide limited purchaser, guest-list, ticket-status, and check-in information to the host venue when reasonably necessary for door operations, admission control, age verification, capacity management, security, safety, compliance, or related event administration. The first valid scan or check-in record presented at an event will generally be honored, and later attempts using the same credential may be denied. Company will not be responsible for stolen, forwarded, duplicated, or fraudulently obtained tickets.

8. Accounts; Credentials; Platform Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify Company of suspected unauthorized access or misuse.

You may not use the Platform to test vulnerabilities, scrape data, overload systems, interfere with check-in operations, create fake accounts, bypass access controls, reverse engineer the Platform, introduce malware, or violate any law or the rights of others. Company may suspend or terminate access immediately for suspected abuse, security risk, legal risk, or conduct inconsistent with these Terms.

9. Venue Operations and Allocation of Responsibility

You understand and agree that the individual venue hosting each event is separately owned and operated. The venue, not Company, is responsible for venue operations on event day, including but not limited to liquor licensing compliance, alcohol procurement and dispensing, bartenders and alcohol-service personnel, security personnel, line management, entry screening, occupancy control, lighting, emergency procedures, premises maintenance, staffing, structural permits, code compliance, and other venue-specific legal and operational obligations.

Company's role is limited to promotion, event coordination, digital ticketing, customer communication, and related administrative functions. Company does not assume the venue's obligations and is not the employer, manager, or insurer of venue staff or security staff. No provision of these Terms creates a representation that Company supervises or controls the venue's compliance with all premises, alcohol, fire, safety, disability-access, staffing, or building requirements.

No use of the words "joint," "together," "collaborator," or similar terms in the Platform, an event listing, or these Terms means that Vesper, Jaiye, or any venue are partners, co-owners, joint venturers, or agents of one another. Vesper is not responsible for Jaiye's or a venue's separate contracts, promises, statements, acts, or omissions except to the extent non-waivable law requires.

10. Attendee Conduct; Compliance With Rules

You agree to comply with these Terms, all posted venue rules, all event-specific instructions, all applicable laws, and all lawful directions of security, venue staff, bartenders, event personnel, emergency responders, and law enforcement.

Prohibited conduct includes, without limitation, using fake or borrowed identification; purchasing for underage persons; harassment; fighting; threats; dangerous intoxication; possession of illegal drugs or weapons; vandalism; theft; line-cutting; trespass into restricted areas; nonconsensual photography in prohibited areas; disruption of operations; or any conduct that could endanger people, property, licenses, or legal compliance.

Company, the venue, security personnel, and law enforcement may deny admission, remove, eject, or refer you to authorities for any prohibited conduct or any safety or compliance concern, with no refund.

11. Risk Disclosure; Assumption of Risk

You understand that attendance at nightlife, bar, and special-event environments involves inherent and obvious risks that may result in property loss, illness, serious injury, disability, or death. These risks may include, without limitation, crowds; lines; slips, trips, and falls; broken glass; wet floors; stairs; elevated sound levels; strobe, laser, flashing, or other audio/visual production; intoxicated patrons; criminal or negligent acts of third parties; transportation risks; communicable disease exposure including COVID-19 or similar illnesses; and venue or neighborhood conditions.

You further understand that certain audio/visual effects may trigger seizures or other adverse reactions for individuals with epilepsy, photosensitivity, migraines, or other medical conditions, and that alcohol consumption may impair judgment and increase the risk of injury or illness.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU VOLUNTARILY ASSUME ALL RISKS OF ATTENDING, TRAVELING TO OR FROM, WAITING FOR ENTRY TO, OR PARTICIPATING IN ANY EVENT SOLD OR PROMOTED THROUGH THE PLATFORM, WHETHER SUCH RISKS ARE KNOWN OR UNKNOWN, ORDINARY OR EXTRAORDINARY, FORESEEABLE OR UNFORESEEABLE, EXCEPT TO THE EXTENT A CLAIM CANNOT LAWFULLY BE WAIVED.

12. Release; Covenant Not to Sue; Limitation of Claims

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU, ON BEHALF OF YOURSELF AND YOUR HEIRS, ESTATE, PERSONAL REPRESENTATIVES, AND ASSIGNS, RELEASE, WAIVE, AND DISCHARGE COMPANY, VESPER PRODUCTIONS LLC, AND ITS OWNERS, MANAGERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (THE "VESPER RELEASED PARTIES") FROM ANY AND ALL CLAIMS, DEMANDS, CAUSES OF ACTION, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM OR ATTENDANCE AT AN EVENT, INCLUDING CLAIMS FOR PERSONAL INJURY, PROPERTY DAMAGE, WRONGFUL DEATH, NEGLIGENCE, PREMISES CONDITIONS, COMMUNICABLE-DISEASE EXPOSURE, ALCOHOL-RELATED HARM, SECURITY INCIDENTS, AND ACTS OR OMISSIONS OF THIRD PARTIES.

This release is intended to be as broad and inclusive as the law permits. It does not waive claims to the extent that such waiver is prohibited by law, including claims based on gross negligence, recklessness, intentional misconduct, fraud, or other liabilities that cannot lawfully be waived.

You agree not to sue any Vesper Released Party for released claims and acknowledge that this release is a material inducement to Vesper allowing Platform access and ticket sales. Except as expressly stated by Vesper in writing on the applicable event page, Jaiye is not a co-owner, equity holder, or general contracting principal of the Platform by reason of assisting with promotion, guest communications, or event coordination for a particular event.

13. Indemnification; Property Damage; Reimbursement

You are responsible for your own acts and omissions and for any damage, loss, cleanup costs, fines, penalties, claims, chargebacks, or expenses arising out of your conduct, your guests, your misuse of the Platform, your violation of these Terms, your infringement of others' rights, your damage to venue property, or your violation of law.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Vesper Released Parties from and against any third-party claims, liabilities, damages, judgments, settlements, losses, costs, and reasonable attorneys' fees arising out of or relating to the foregoing.

If venue staff, security, or Company determines in good faith that you caused damage to a venue, its fixtures, furnishings, equipment, restrooms, bar area, staging, decor, entry apparatus, or neighboring property, you remain financially responsible for the resulting loss. Company may seek reimbursement directly from you and may use lawful collection methods and legal process to pursue recovery.

14. Communications; Consent to Transactional Emails and Texts

By creating an account or using the Platform, you consent to receive transactional and relationship communications from Company by email and, where you provide a mobile number, by SMS or other messaging services regarding account verification, receipts, waitlist notices, event logistics, order confirmations, security alerts, service notices, and other operational communications associated with your use of the Platform.

Where required by applicable law, Company will obtain any additional consent needed before sending telemarketing or promotional text messages using regulated methods. Consent to receive marketing messages is not a condition of purchase. You may opt out of marketing emails using the unsubscribe mechanism provided, and you may opt out of marketing texts by following the instructions in the message, but you may still receive non-marketing transactional communications related to your account, orders, or existing tickets.

15. Photography; Video; Publicity

Events may be photographed, livestreamed, or recorded by Company, venues, vendors, media, or other attendees. By attending an event, you grant Company and its designees the perpetual, worldwide, royalty-free right to capture, use, reproduce, distribute, publish, display, edit, and create derivative works from your name, image, likeness, voice, and appearance as recorded at the event for promotional, documentary, archival, security, and commercial purposes in any media now known or later developed, without further notice, approval, or compensation, except where prohibited by law.

If you object to being photographed for promotional uses, do not attend areas where photography or recording is taking place and contact event staff where reasonably feasible; however, Company cannot guarantee complete exclusion from crowd photography or incidental capture.

16. Intellectual Property and Platform Rights

The Platform, including its software, code, architecture, interfaces, content, branding, graphics, ticket formats, event listings, data models, customer-facing workflows, and related materials, is the sole and exclusive property of Vesper Productions LLC or is licensed to Vesper Productions LLC and is protected by intellectual-property and unfair-competition laws. Jaiye Productions LLC does not acquire any ownership right, title, or interest in the Platform, the Senior Week brand, the customer database, or related intellectual property by virtue of marketing, co-promoting, communicating with guests, or using the Platform for any event. Subject to these Terms, Vesper grants you a limited, revocable, non-transferable right to access the Platform solely for personal, non-commercial use.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, scrape, frame, decompile, reverse engineer, or exploit the Platform or its content except as expressly permitted by Company in writing.

17. Disclaimers of Warranties

THE PLATFORM, ALL TICKETS, ALL EVENT INFORMATION, AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

Company does not warrant the conduct of venues, security vendors, bartenders, performers, transportation providers, third-party promoters, or attendees, and does not warrant that any event will match your subjective expectations.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE VESPER RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, LOST OPPORTUNITIES, REPUTATIONAL HARM, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATING TO THE PLATFORM, ANY EVENT, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE VESPER RELEASED PARTIES FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM, ANY ORDER, OR ANY EVENT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO COMPANY FOR THE SPECIFIC TICKET OR ORDER GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100.00).

Some laws do not allow the limitation of certain damages. To the extent such law applies, some or all of the limitations in these Terms may not apply to you.

19. Force Majeure; Safety and Operational Changes

Company may cancel, postpone, reschedule, relocate, shorten, delay, or modify an event or Platform function due to causes beyond its reasonable control, including severe weather, natural disaster, public-health concerns, venue closures, utility failures, labor disputes, transportation failures, government orders, licensing issues, safety concerns, acts of terrorism, civil disturbance, performer unavailability, supplier failures, technological failures, or other force-majeure events.

Company will not be liable for delays, disruptions, or nonperformance caused by such events. Any remedy offered after a force-majeure event will be determined by Company or the relevant venue, subject to applicable law and the specific circumstances.

20. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. EXCEPT WHERE PROHIBITED BY LAW, YOU AND COMPANY AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, ANY ORDER, ANY TICKET, OR ANY EVENT (INCLUDING THE SCOPE, ENFORCEABILITY, OR ARBITRABILITY OF THIS SECTION) SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND NOT IN COURT, EXCEPT THAT EITHER PARTY MAY BRING AN INDIVIDUAL CLAIM IN SMALL CLAIMS COURT IF THE CLAIM QUALIFIES.

YOU AND COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, MASS ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. THE ARBITRATOR MAY AWARD RELIEF ONLY ON AN INDIVIDUAL BASIS AND MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

Before filing arbitration, the claiming party must send a written notice of dispute describing the claim and requested relief to vesperprd@gmail.com and 502 W 7th St, Ste 100, Erie, PA 16502, and the parties will attempt in good faith to resolve the dispute informally for thirty (30) days. If unresolved, the dispute shall be administered by the American Arbitration Association (AAA) under its applicable Consumer Arbitration Rules, unless Company designates another reputable consumer arbitration administrator in the published version of these Terms. The arbitration may be conducted in Philadelphia, Pennsylvania, or remotely, unless applicable law requires otherwise.

If the arbitration and class-action waiver in this Section is found unenforceable as to a particular claim, then that claim shall be brought exclusively in the state or federal courts located in Philadelphia County, Pennsylvania, and you and Company consent to personal jurisdiction and venue there. To the extent litigation is permitted, both parties waive any objection based on forum non conveniens.

21. Electronic Consent; Records

You consent to transact electronically with Company. Your electronic acceptance of these Terms, use of checkboxes, clicks, taps, digital signatures, and electronic receipts will have the same force and effect as a handwritten signature. You consent to receive agreements, notices, disclosures, and records electronically, unless applicable law requires another method.

22. Privacy

Our collection, use, storage, and disclosure of personal information is described in the Privacy Policy posted on the Platform and incorporated into these Terms by reference. By using the Platform, you acknowledge that no data transmission or storage system can be guaranteed to be one hundred percent secure and that Company uses commercially reasonable measures but cannot guarantee absolute security.

23. Changes to Terms

Company may modify these Terms from time to time by posting an updated version on the Platform and updating the effective date. Changes will apply prospectively unless otherwise required by law. Your continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms.

24. Governing Law

Except to the extent preempted by the Federal Arbitration Act or other applicable federal law, these Terms and any dispute arising out of or relating to them will be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflicts-of-law principles.

25. Miscellaneous

These Terms, together with the Privacy Policy and any event-specific terms posted on the Platform, constitute the entire agreement between you and Company regarding the subject matter hereof and supersede prior understandings to that extent.

If any provision of these Terms is held unlawful, void, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

Company's failure to enforce any provision will not be deemed a waiver. You may not assign your rights or obligations under these Terms without Company's prior written consent.

Company may assign these Terms in connection with a merger, asset sale, financing, reorganization, or by operation of law.
